Companies that handle the in's and out's of contests

We have a client that would like to do an online contest, but we are quickly learning there are many "hairy" details involved, such as legal considerations, developing the rules, getting the prizes, paying the appropriate fees and taxes, etc. Frankly, we would rather contract this stuff out than mess with it ourselves.

Does anyone know of a company that will handle the logistical details of running an online contest?
