I would be careful to ensure that what you agree to is limited to a
licence to reproduce the material for a single issue of the CD ROM
within an agreed territory and that any further use, or use not
explicity covered in the agreement, must not be made without further
written permission.

If the publisher is suggesting that you agree to this without any
payment - for the exposure - then you have to be clear that you will get
some other kind of payback. It is difficult to see how you can benefit
from European exposure though. Perhaps the publisher has something else
to offer in return?

Another point to check would be any rights in the site that do not
belong to you. For instance if you use photographs or written material
that might belong to the photographers, authors, etc.
