It is easy to build another Yahoo, and even do it better. Yahoo's layout
has quite a few problems (listing sites alphabetically for one thing, and
the categorization is way too overcrowded). http://www.newhoo.com/ is
"Yahoo done better", for example. There are numerous competing indexes.

What makes Yahoo important is what it has that no other site has.
Eyeballs. Gazillions of them. I have a great listing in newhoo; I have a
crappy listing in Yahoo (inaccurate text, buried 3/4 of the way down the
page). I get more hits from Yahoo.

Numerous sites are trying to take on Yahoo. Snap.com is the "contenda"
now, given that they are spending $60M of NBC's money advertising it. And
all of that is basically trying to drive the eyeballs over to Snap and hope
they'll like it better than Yahoo.
